ISLAMABAD – The landscape of Pakistan’s telecommunications industry is set for a historic transformation as the Pakistan Telecommunication Authority (PTA) officially greenlit the merger between PTCL’s mobile subsidiary, Pak Telecom Mobile Limited (Ufone), and Telenor Pakistan.
The announcement, made via a formal notice to the Pakistan Stock Exchange on Tuesday, confirms that the regulator granted its approval on March 19, 2026. The merger remains subject to an unconditional acceptance of the PTA’s specific conditions, which must be submitted within the next 15 days.
The Path to Integration
With the regulatory “No Objection Certificate” (NOC) now in hand, the focus shifts to the backend. Senior PTCL officials have confirmed that no further board approvals are required, as the mandate for the $400 million takeover—originally signed in December 2023—was already secured.
The next few weeks will be defined by legal and technical maneuvers. The companies are now preparing to file an application for amalgamation in the Islamabad High Court. This legal phase typically spans about a month, during which authorities perform a “clean slate” check to ensure neither company has lingering litigation with banks, tax authorities, or consumers.

Consolidating the Towers
One of the most significant shifts will be visible on the horizon—quite literally. The combined entity currently manages roughly 26,000 telecom towers across the country. Because many of these towers are located in close proximity, technical teams will begin decommissioning redundant sites to slash operating costs.
However, the PTA has tied this consolidation to strict consumer and partner protections:
- Tower Sharing: Any towers currently shared with rivals Jazz or Zong cannot be shut down without explicit regulatory approval.
- Franchise Security: Business partners and franchise holders must be given at least six months’ notice before any contracts are terminated.
- Service Continuity: In a move to reassure the public, officials confirmed that existing Telenor SIM cards will remain fully functional on the Ufone network, ensuring zero downtime for millions of users.
A Battle for Market Supremacy
This merger creates a formidable challenger to the current market leader, Jazz. Based on current data, the combined Ufone-Telenor entity will boast approximately 72.45 million subscribers, placing it within striking distance of Jazz’s 74.19 million users and well ahead of Zong’s 53.90 million.
However, industry analysts are cautioning about these numbers. Market experts expect the total subscriber base of the new entity to dip by about 10 percent post-consolidation. This “churn” is anticipated because many Pakistanis currently carry SIM cards from both networks; as the brands merge, these dual users may consolidate their usage or migrate to competitors.
As the legal review moves to include input from the State Bank and the FBR, the Pakistani telecom sector prepares for a three-player market that promises more intense competition and, hopefully, improved service quality for the country’s 202 million mobile users.
